Terms of Service
These Terms of Service ("Terms") govern your access to and use of the Unveil website at withunveil.com, any Unveil mobile applications, and related services (the "Platform"), operated by With Unveil, Inc. ("Unveil," "we," "us"). By creating an account (including by selecting the acceptance checkbox at signup and again at your first checkout) or using the Platform, you ("you," the "Couple") agree to these Terms.
1. Definitions
- "Vendor" means a venue or other wedding-service provider listed on the Platform.
- "Booking" means a confirmed engagement of a Vendor's services made or facilitated through the Platform.
- "Payment Processor" means Stripe, Inc. and its Stripe Connect service, or any successor payment processor Unveil designates.
2. Your Account
You must be at least 18 years old and able to form a binding contract to create an account. You are responsible for keeping your login credentials confidential and for all activity under your account. Provide accurate, current information and keep it up to date. Unveil may decline or limit access, require identity verification, and suspend or close accounts at its discretion to protect the Platform, Vendors, and other users. You may not create more than one account or transfer your account to anyone else.
3. Searching and Booking
The Platform lets you search, compare, and request or confirm Bookings with Vendors. How listings are displayed or ordered may consider factors such as relevance to your search, Vendor availability, and Unveil's editorial curation, among other factors Unveil chooses. Unveil may also offer promotional or featured placements, which will be identified as such.
When a Booking is confirmed, a contract for services (a "Service Agreement") is formed directly between you and the Vendor — not with Unveil. The Vendor's own pricing, cancellation policy, and any additional terms disclosed on their listing or in their own contract with you become part of that Service Agreement. You are responsible for reading and understanding those terms before booking.
Unveil may review the pricing documentation Vendors submit at the time of listing, but does not guarantee that a Vendor will perform, that its pricing will never change, or that services will meet your expectations. See Section 8 (Unveil's Role).
Listings may occasionally contain errors. If Unveil or a Vendor identifies an error in a price or other material term before a Booking is confirmed, Unveil may correct the listing, contact you, or cancel the Booking and refund you in full.
Unveil may change, suspend, or discontinue any part of the Platform, and may remove or limit any listing, at any time. Unveil has no obligation to continue offering any Vendor, feature, or fee structure.
If your Booking includes a creative work product delivered after your event (such as photography or videography), Vendors are required to disclose their delivery and usage-rights policy on their listing, including who owns the final images or footage and what license you receive to use them. Review that policy before booking, as it becomes part of your Service Agreement with the Vendor.
The Platform may offer features that use automated tools, including artificial intelligence, to help you search, compare, or receive suggestions. These features are provided for convenience only, may be inaccurate, and are not a guarantee of availability, price, or fit. Confirm details with the Vendor before you book. See our Privacy Policy for how your information is used in these features.
4. Payments
By making a Booking, you authorize Unveil, through the Payment Processor, to automatically charge your saved payment method for the deposit and each subsequent installment on the date specified in the Booking's payment schedule and, if a scheduled charge fails, any other payment method saved to your account, without further action from you at the time of each charge. Unveil will email you a confirmation of your payment schedule when you book, and a reminder before each scheduled charge. You may update your payment method at any time in your account settings, and you may withdraw your authorization for future automatic charges in your account settings, where available, or by contacting Unveil support at support@withunveil.com. Withdrawing your authorization does not cancel the Booking or release you from the payments due under your Service Agreement: you remain responsible for paying each installment when due by another method, and cancellations are governed by Section 5.
To make a Booking you must provide a valid payment method that you are authorized to use, and you must keep at least one valid payment method on file until every amount due under your Booking has been paid. Unveil and the Payment Processor may verify your payment method, including with a small temporary authorization, before confirming a Booking.
If a scheduled payment fails, is declined, or is reversed, Unveil may retry the charge, may charge any other payment method saved to your account, and will notify you. You must provide a working payment method within seven (7) days of that notice. If you do not, Unveil may, to the extent your Service Agreement and applicable law allow, notify the Vendor, suspend your account, and cancel the Booking, in which case the Vendor's cancellation policy applies and you remain responsible for the amounts it provides for. You are responsible for any bank, card, or processor fees caused by a failed or reversed payment. Unveil may also charge a reasonable failed-payment fee where permitted by law, but only if the fee and its amount are disclosed to you at checkout or by notice before it applies to you.
Unveil may decline, hold, reverse, or cancel any Booking or payment, and may suspend your account, if it reasonably suspects fraud, unauthorized use of a payment method, a violation of these Terms, or a legal or compliance risk. We may ask you to verify your identity or payment method, and may share information with the Payment Processor, Vendors, card networks, and law enforcement to investigate and prevent fraud. You confirm that every payment method you use is yours or that you are authorized to use it.
Your payment information is provided directly to Stripe and is handled under Stripe's Privacy Policy (https://stripe.com/privacy), separate from Unveil's Privacy Policy.
Unveil may charge a platform fee on Bookings made through the Platform. Depending on Unveil's fee structure then in effect, this fee may be charged to the Vendor, to you as a separate amount, or split between both — see the Vendor's listing and the price summary shown at checkout for the details applicable to a given Booking. Any fee charged to you will be included in the total price shown to you before you confirm a Booking. Unveil may change its fees for future Bookings at any time.
The platform fee is refundable if a Booking is cancelled by the Vendor or by Unveil, or if Unveil refunds you under Section 5. If you cancel a Booking, Unveil may retain an amount equal to the Payment Processor's non-refundable processing fees on your payments, as shown at checkout before you confirm. Fee terms shown at checkout apply to that Booking.
Payments are processed by the Payment Processor. Depending on the Vendor, the Booking, and Unveil's payout policies in effect from time to time, funds may be released to the Vendor at different times, including promptly after payment, on or after your event date, or on another schedule, and Unveil may hold, delay, or condition release as Unveil's agreement with the Vendor and the Payment Processor's rules allow. Unveil does not guarantee that any payment will be held, or remain available for return, for any particular period. When funds are released does not change your payment obligations to the Vendor under your Service Agreement.
You are responsible for any taxes that apply to your Booking. Where the law requires, Unveil or the Vendor may collect and remit taxes on your behalf, and they will be shown at checkout.
5. Cancellations, Refunds, and Booking Changes
If you cancel a Booking, the amount refunded to you is determined by the Vendor's disclosed cancellation policy, which Vendors are required to show on their listing before you book. Read it carefully — policies vary significantly between Vendors, and many wedding-industry deposits are non-refundable.
Unveil may intervene and issue a refund notwithstanding a Vendor's policy where Unveil determines, in its discretion, that the Vendor failed to deliver contracted services, engaged in fraud, or otherwise materially breached its agreement with you. Requests for this kind of intervention should be submitted to support@withunveil.com, or through the Platform's resolution tools where available.
If a Vendor cancels a Booking, or a Booking is cancelled because the Vendor stops being listed on the Platform or is removed by Unveil before your event, Unveil will work to arrange a refund of the amounts you have paid for the affected Booking in full, including any platform fee. Where a Vendor is removed for breaching its agreement with Unveil, Unveil may instead let you choose to keep your Booking with that Vendor.
Any changes to a Booking's date, scope, or price must be agreed with the Vendor directly and may carry additional charges under your Service Agreement.
If you have a payment dispute, we encourage you to use Unveil's resolution process above before contacting your card issuer. Once you file a dispute directly with your card issuer (a chargeback), Unveil may no longer be able to offer resolution through the Platform for that payment, since Unveil's obligations to the Payment Processor take precedence at that point.
If you file a chargeback or payment dispute for a payment you authorized, or for services you received, without first using Unveil's resolution process, Unveil may suspend your account, give the Payment Processor and the Vendor the records needed to contest the dispute, and recover from you the disputed amount and any resulting fees, to the extent the law allows.
6. Your Responsibilities and Assumption of Risk
You are responsible for your own conduct and that of your guests at any venue or event arranged through a Booking, including compliance with the Vendor's rules and applicable law, and for any damage caused to a Vendor's property.
Weddings and related events carry inherent risks. To the maximum extent permitted by law, you assume the risks associated with attending or hosting an event at a Vendor's location or using a Vendor's services, including risk of injury, property damage, or loss.
Unveil is not responsible for any damage to or loss of property, injury, or other loss arising from a Booking, an event, or a Vendor's venue or services, whether caused by you, your guests, a Vendor, or anyone else. Any claim for damage or loss is between you and the Vendor (and any insurer), and Unveil has no obligation to investigate, mediate, pay, or collect it. Unveil does not hold damage deposits, insure property, or guarantee that any Vendor or Couple will pay for damage or loss.
If you have a dispute with a Vendor or another user, you release Unveil and its affiliates, officers, employees, and agents from claims, demands, and damages of every kind, known or unknown, arising out of or connected with that dispute, to the maximum extent the law allows.
7. Content and Reviews
If you submit photos, reviews, or other content to the Platform, you grant Unveil a non-exclusive, perpetual, irrevocable, royalty-free, worldwide, sublicensable license to display and use that content to operate, improve, and promote the Platform. Reviews must be honest and based on an actual Booking; Unveil may remove reviews that violate this or applicable law. Any feedback or ideas you send us about the Platform may be used by Unveil without restriction or payment to you.
Unveil does not permit Vendors to pay for, edit, or suppress reviews on the Platform. Unveil may remove a review that violates these Terms or applicable law, such as a review that is fake, incentivized, abusive, or not based on an actual Booking. You confirm that content you submit is yours to share and does not violate anyone's rights.
8. Unveil's Role
Unveil operates a discovery and booking platform. We do not own, operate, or control any Vendor's venue or services, and we are not a party to, and do not guarantee performance of, any Service Agreement between you and a Vendor. Unveil is not a real estate broker, event planner, or insurer, and does not act as your agent or the Vendor's agent, except that the Payment Processor acts as a limited payment-collection agent as described in its own terms. Unveil may, but has no obligation to, monitor, review, verify, or remove listings, reviews, and other content, and is not responsible for content created by Vendors, Couples, or other third parties. Unveil does not offer any insurance, guarantee, or protection program for Bookings unless it expressly says so in writing.
"Verified" or similar language on a listing means Unveil reviewed the Vendor's submitted pricing documentation at a point in time — it is not a guarantee of future accuracy or of the Vendor's performance. Likewise, any review by Unveil of a Vendor's insurance, licenses, or permits is a point-in-time document check, not a guarantee that coverage or a license is valid or sufficient.
9. Platform Rules
- Provide accurate information and do not misrepresent your identity, guest count, or intended use of a Vendor's services.
- Do not use the Platform to harass, discriminate against, or defraud a Vendor.
- Do not attempt to circumvent Platform payments by arranging to pay a Vendor directly for a Booking made through the Platform in order to avoid Platform terms.
- Do not scrape, reverse-engineer, or interfere with the Platform's operation.
- Do not use a payment method you are not authorized to use, submit false or fraudulent Bookings, chargebacks, or reviews, or otherwise use the Platform for fraud or unlawful activity.
- Do not use the Platform to build a competing service or to collect Vendor information for any purpose other than planning your own event.
- Do not use bots or other automated tools, or create multiple accounts to evade a suspension, a limit, or a fee.
10. Termination and Suspension
You may close your account at any time. Unveil may suspend or terminate your account on reasonable notice for violating these Terms, fraud, or conduct that harms Vendors or other users, and may do so immediately for serious violations. Termination does not cancel a confirmed Booking or affect your obligations under a Service Agreement with a Vendor, which continues to be governed by its own terms. Where Unveil suspends or terminates your account for fraud, failed payment, abuse of chargebacks, or a violation of these Terms, Unveil may also cancel or refund pending Bookings, reverse payments, and recover amounts you owe, and nothing in this Section limits any other remedy available to Unveil. Unveil may also terminate these Terms or your account for any reason on reasonable notice, and may remove listings, cancel Bookings, or limit access to the Platform at any time to protect the Platform or its users.
11. Disclaimer of Warranties
The Platform and all content on it are provided "as is." Unveil disclaims all warranties, express or implied, regarding the Platform and any Vendor, listing, or Service Agreement, to the maximum extent permitted by law. Unveil does not guarantee that listings are complete or error-free, that the Platform will be uninterrupted or secure, or that any Booking will result in services that meet your expectations. Unveil makes no representations about the identity, qualifications, insurance, licensing, or conduct of any Vendor or Couple, or about the results of any verification or review it performs.
12. Limitation of Liability
To the maximum extent permitted by law, Unveil's total liability to you for any claim arising out of these Terms or your use of the Platform will not exceed the greater of $100 or the amount you paid Unveil directly (excluding amounts paid to Vendors) in the 12 months before the claim. Neither party is liable for indirect, incidental, or consequential damages. Nothing in these Terms limits liability that cannot be limited under applicable law, including for fraud or willful misconduct.
Unveil is not responsible for the acts, omissions, or services of any Vendor, or for damage, loss, or injury arising from a Booking or event, or for losses arising from a Vendor's cancellation, non-performance, or inaccurate listing, beyond the refunds expressly described in these Terms. These limits apply even if Unveil has been advised of the possibility of the damages, and to the fullest extent the law allows.
13. Indemnification
You agree to indemnify and hold Unveil harmless from third-party claims, losses, and reasonable expenses arising from your breach of these Terms, your misuse of the Platform, your content, your violation of law or of anyone's rights, your use of a payment method you are not authorized to use, or your conduct at a Vendor's venue or event. This applies even where the claim arises in part from Unveil's negligence, to the extent the law allows. Unveil may control the defense of any such claim at your expense, and you will not settle it without Unveil's consent.
14. Force Majeure
Neither party is liable for delay or failure to perform an obligation under these Terms (other than a payment obligation already due) caused by circumstances beyond that party's reasonable control, including natural disasters, extreme weather, pandemic or public health emergency, war, or government order. This does not override a Vendor's disclosed cancellation policy.
15. Governing Law and Disputes
These Terms are governed by the laws of the State of Delaware, without regard to conflict-of-law principles.
Informal Resolution. Before starting arbitration or a court case, the party with the dispute must send the other a written notice that includes their name, account email, a description of the dispute, and the relief requested, personally signed by them (and their lawyer, if any). Notices to Unveil go to legal@withunveil.com or With Unveil, Inc., 169 Madison Ave STE 51217, New York, NY 10016. Within 30 days after the notice is received, the parties will hold an individual phone or video conference to try in good faith to resolve the dispute, which you (and not only your lawyer) must attend. Any deadline to file a claim is paused until this process is complete. A court may enforce this requirement.
Arbitration. If the dispute is not resolved within 60 days after the notice is received, either party may start binding individual arbitration administered by the American Arbitration Association (AAA) under its Consumer Arbitration Rules, instead of in court. The Federal Arbitration Act governs this Section, and the arbitrator, not a court, decides whether a dispute is covered, including questions of scope, enforceability, and arbitrability. Hearings will take place by video or phone, or in the county where you live, and claims of $25,000 or less may be decided on written submissions unless the arbitrator decides otherwise. Fees will be allocated as provided in the AAA's rules. Either party may instead bring an individual claim in small-claims court, and either party may ask a court to stop infringement or misuse of its intellectual property.
Class and Jury Waiver. YOU AND UNVEIL EACH WAIVE THE RIGHT TO A JURY TRIAL AND TO BRING OR TAKE PART IN ANY CLASS, COLLECTIVE, OR REPRESENTATIVE ACTION. The arbitrator may award relief only to the individual party bringing the claim.
Mass Filings. If 25 or more similar demands are filed against Unveil by or with the help of the same or coordinated lawyers or organizations, the AAA's Mass Arbitration Supplementary Rules apply, and the claims will proceed in stages: each side selects up to 10 claims to be arbitrated first, the remaining claims will not be filed or charged fees until those are resolved, and the parties will then mediate the remaining claims in good faith. Any deadline to file a remaining claim is paused during this process.
Public Injunctive Relief and Severability. Any claim for public injunctive relief, and any claim for which the class waiver is found unenforceable, will be severed and decided in court (and only that claim), after any arbitrable claims are resolved.
Court Location. Any claim permitted to go to court will be brought in the state or federal courts located in New York County, New York.
Opt-Out, Changes, and Time Limit. You may opt out of arbitration within 30 days of first accepting these Terms by emailing legal@withunveil.com with your name and account email. If Unveil changes this Section, the change will not apply to a dispute either party has already given notice of. A claim must be filed within one year after it arises, to the extent the law allows.
16. Intellectual Property and Copyright Notices
The Platform, including its design, software, text, and curated editorial content, is owned by Unveil or its licensors and is protected by intellectual property laws. "Unveil," "With Unveil," and the Unveil logo are trademarks of With Unveil, Inc. These Terms give you a limited, personal, non-transferable license to use the Platform to plan your own event; they do not transfer any ownership rights.
Vendor content (such as photographs and descriptions) remains the property of the Vendor or its licensors. If you believe content on the Platform infringes your copyright, send a written notice to our designated Copyright Agent at With Unveil, Inc., Attn: Copyright Agent, 169 Madison Ave STE 51217, New York, NY 10016, or legal@withunveil.com, that describes the work and where it appears, gives your contact information, states that you believe in good faith the use is unauthorized, and states under penalty of perjury that your notice is accurate and that you own the work or are authorized to act for its owner. Unveil may remove the content and may close the accounts of repeat infringers.
17. Communications and Consent
By giving us your email address or phone number, you agree that Unveil may send you messages about your account, Bookings, and support requests. These service messages are part of the Platform. With your separate consent, which you may give or decline at signup and withdraw at any time, Unveil may also send marketing emails. If you opt in, Unveil may send you text messages, including booking and payment reminders and, with your separate consent, promotional messages. Message frequency varies. Message and data rates may apply. Reply STOP to cancel or HELP for help. Consent to receive promotional texts is not a condition of any purchase. Mobile carriers are not liable for delayed or undelivered messages. You can unsubscribe from marketing emails using the link in each message.
18. General
- Amendment. Unveil may update these Terms and will give notice before material changes take effect; continued use after the effective date constitutes acceptance. If you do not agree to a change, you may close your account before it takes effect.
- Relationship to Vendor Terms. These Terms govern your use of the Platform. They do not modify, and are separate from, any Service Agreement or contract you enter into directly with a Vendor.
- Entire Agreement. These Terms, together with our Privacy Policy and the Payment Processor's own terms, constitute the entire agreement between you and Unveil regarding the Platform.
- Severability. If any provision is found unenforceable, the remaining provisions remain in full effect.
- Third-Party Links and Vendor Communications. The Platform may link to third-party sites, including Vendors' own websites, which Unveil does not control or endorse. Messages you exchange with a Vendor are between you and the Vendor.
- Notices and Contact. Unveil may give notice by email to the address on your account or by posting on the Platform. You can contact Unveil at support@withunveil.com; legal notices go to With Unveil, Inc., 169 Madison Ave STE 51217, New York, NY 10016, or legal@withunveil.com.
- Assignment, Waiver, and Survival. You may not assign these Terms without Unveil's consent; Unveil may assign them in connection with a merger, acquisition, or sale of assets. A failure to enforce a provision is not a waiver. Sections that by their nature should continue after termination, including those on payments, content, disclaimers, liability, indemnification, and disputes, survive.
- Electronic Records and Signatures. You consent to receive notices and records from Unveil electronically and agree that clicking to accept, and electronic records of your acceptance and Bookings, have the same effect as a signature on paper.
- Interpretation. Headings are for convenience only. "Including" means "including without limitation." These Terms are written in English, and any translation is for convenience.
- No Third-Party Beneficiaries. These Terms confer no rights on anyone other than you and Unveil, except that Unveil's affiliates and the Payment Processor may rely on the provisions that protect them.
- Reservation of Rights. Unveil reserves all rights not expressly granted in these Terms.
